Agencies & Distributions Agreement

1. PREAMBLE
This Agreement is established to define the professional relationship, logistical responsibilities, and financial terms between Kinugawa Turbo Systems (the "Brand") and the undersigned Authorized Partner (the "Partner"). By participating in either the Agency or Distribution tiers, the Partner agrees to the terms and conditions outlined herein.

3. DETAILED TIER SPECIFICATIONS
3.1 Tier 1: Agency Mode (Drop-shipping)
This tier is designed for partners focusing on market expansion and customer acquisition without the requirement for local stock.
- Logistics: The Brand accepts and prioritizes drop-shipping orders. Products are shipped directly from the Brand's facility to the end customer.
- Fulfillment: All orders are dispatched via DHL Express.
- Taxation: The Brand handles all import duties and local taxes for Agency orders to ensure a seamless "landed" delivery for the customer.
- Zone 8 Surcharge: A flat shipping fee of $200 USD per unit applies specifically to shipments destined for Zone 8.
3.2 Tier 2: Distribution Mode (Stocking Distributor)
This tier is intended for established businesses capable of managing local inventory and providing immediate regional availability.
- Volume Pricing: A 25% discount is provided to facilitate regional markup and operational costs.
- Logistics: The Brand covers the full cost of DHL Express shipping globally for all Tier 2 orders (Minimum 2 units).
- Customs: The Distributor is solely responsible for the payment of all import duties, VAT, and local customs clearance fees.
4. GENERAL TERMS AND CONDITIONS
4.1 Pricing Integrity
To protect the value of the Kinugawa brand and ensure fair competition, Partners are expected to adhere to the Manufacturer's Suggested Retail Price (MSRP). Chronic or significant unauthorized price cutting may result in the suspension of wholesale privileges.
4.2 Order Processing & Payment
All orders must be submitted via the authorized wholesale portal. Orders are processed upon receipt of full payment. For Tier 2, the 25% discount is automatically applied once the order meets or exceeds the 2-unit threshold.
4.3 Intellectual Property (IP)
The Brand grants the Partner a non-exclusive, non-transferable license to use Brand trademarks, product imagery, and technical specifications for the sole purpose of promoting and selling Kinugawa products.
4.4 Warranty and RMA Policy
- All products are covered under the official Kinugawa Turbo Systems Warranty Policy.
- Partners and customers must refer to the documentation and procedures found at store.kinugawaturbosystems.com.
- Tier 1: The Brand manages returns directly with the end customer.
- Tier 2: The Distributor provides first-line support for local customers and coordinates with the Brand for replacement components for verified manufacturing defects.
4.5 Performance & Conduct
Partners agree to represent the Brand with professional conduct. The Brand reserves the right to terminate this agreement with 30 days' notice or immediately in the event of a breach of IP policy or conduct damaging to the Brand's reputation.
